Terms of Service

1. Definitions

"PropFolio" refers to PropFolio, Inc. and its subsidiaries, operating the PropFolio platform at propfolio.tech.

"Platform" means the PropFolio web application, APIs, and related services.

"Intelligence" refers to PropFolio's AI-powered features, including document extraction, financial analysis, risk detection, and report generation.

"Customer" or "you" refers to the individual or entity that has agreed to these Terms.

"Customer Data" means all data uploaded, entered, or generated by the Customer within the Platform.

"Authorized Users" means individuals permitted by the Customer to access the Platform under the Customer's account.

2. Account Terms

By creating an account, you represent that you are at least 18 years old and have the authority to bind your organization to these Terms.

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Ensuring that all Authorized Users comply with these Terms
  • Providing accurate and up-to-date account information

PropFolio reserves the right to suspend or terminate accounts that violate these Terms or pose a security risk.

3. Acceptable Use

You agree to use the Platform only for lawful purposes related to commercial real estate investment management. You may not:

  • Use the Platform in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Platform
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Interfere with or disrupt the integrity or performance of the Platform
  • Use automated means to access the Platform beyond approved API usage
  • Share account credentials with unauthorized parties
  • Upload malicious code, malware, or harmful content

4. Intelligence (AI) Terms

PropFolio's Intelligence features are subject to the following terms:

  1. Decision support, not advice. All Intelligence outputs are provided as decision-support tools. They do not constitute financial, legal, tax, investment, or professional advice of any kind.

  2. Human review required. You must review all Intelligence outputs before making any consequential business decisions. Automated reliance on Intelligence outputs without human oversight is prohibited.

  3. Customer data not used for training. PropFolio does not use Customer Data to train, fine-tune, or improve machine learning models. Your data is processed solely to deliver Intelligence features to you.

  4. Accuracy not guaranteed. While PropFolio strives for high accuracy, Intelligence outputs may contain errors, omissions, or inaccuracies. You are responsible for verifying all outputs independently.

  5. Not a financial institution. PropFolio is not a financial institution, broker-dealer, registered investment adviser, licensed appraiser, or legal services provider. Nothing in the Platform should be construed as a recommendation to buy, sell, or hold any investment.

5. Intellectual Property

PropFolio retains all rights, title, and interest in the Platform, including all software, designs, documentation, and trademarks. These Terms do not grant you any rights to use PropFolio's trademarks or branding.

You retain all rights to your Customer Data. By using the Platform, you grant PropFolio a limited, non-exclusive license to process your Customer Data solely for the purpose of providing the Platform's services.

6. Data Ownership

You own your Customer Data. PropFolio acts as a data processor on your behalf.

  • You may export your data at any time using the Platform's export features
  • Upon account termination, PropFolio will retain your data for 30 days, after which it will be permanently deleted
  • PropFolio may retain anonymized, aggregated data that cannot be attributed to any individual customer

7. Limitation of Liability

To the maximum extent permitted by law:

  • PropFolio's total liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim
  • PropFolio shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • PropFolio shall not be liable for any loss arising from your reliance on Intelligence outputs without independent verification
  • PropFolio does not guarantee uninterrupted or error-free service

8. Termination

Either party may terminate these Terms at any time:

  • By you: Cancel your subscription through the Platform settings. Your access will continue until the end of the current billing period.
  • By PropFolio: We may suspend or terminate your access immediately if you violate these Terms, or with 30 days' notice for any other reason.

Upon termination, your right to access the Platform ceases. Sections 5, 6, 7, and 9 survive termination.

9. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Delaware.

10. Changes to These Terms

PropFolio may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
